1. General
1.1. The Mill Adventure Limited (“TMA”, “we”, “us”, “our”) is a company incorporated under the laws of Malta, with registration number C90719 and with registered address at Level 4, Pendergardens Business Centre 44, St. Andrew’s Road, STJ 9023 St. Julian’s, Malta; Telephone number +44 1651 265433, email: info@themill.io.
1.2. TMA trades under the brand “Budsino” (accordingly any reference to Budsino shall be construed as constituting a reference to TMA) and operates the site www.budsino.com (the “Website”).
1.3. This document (“Terms and conditions” or “T&Cs”) together with the Privacy Policy, the Cookie Policy and the Games Rules (collectively, the “Rules”) sets out the terms governing the contractual relationship between TMA and any person registering with Budsino and subsequently accessing the Website as a registered user (“Player”, “User”, “you”, “your”). You are required to carefully read and accept the Rules when registering an account with the Website. If, at any time, you do not agree with the Rules, you may not use or continue to use the Website.
1.4. TMA reserves the right to change these Terms and Conditions including any Specific Rules at any time. Should there be any material changes to the Rules (“Change”), you will promptly be notified and provided with a summary of the changes and prior to accessing and using your Account for the first time after a Change takes place, you will be required to expressly re-confirm your acceptance. In the event that, following any Change, you do not wish to continue using the Website and / or the Services anymore, you may withdraw all your available funds and close your Account.
1.5. These Terms and Conditions are published in English and may be available on the Website in a number of other languages. In the event of any discrepancy between the English version and versions in other languages, the version most beneficial to you shall prevail. Where a discrepancy does not result in any specific version being more beneficial to either party, the English version shall prevail.
1.6. The Rules constitute the complete, final, binding and exclusive agreement between you and TMA with respect to the Website and the Services and we recommend that carefully read you print a copy of these Terms and Conditions for future reference.
2. Regulatory Status
2.1. TMA is licensed and regulated to provide its services in and from Malta under the Licence MGA/CRP/716/2019, issued on the 10th of July 2020 by the Malta Gaming Authority (the “MGA”), enabling us to provide various types of real-money games (the “Games”) and associated gaming services to registered Users via the Website (collectively the “Services”).
2.2. Games on the Website are operated in conjunction with our approved providers, and you may check and verify our respective operational statuses at any time by clicking on the MGA Dynamic Seal which may be found in the footer of the homepage/landing-page and on each page of the Website or by consulting the MGA licensee’s register available at: https://www.mga.org.mt/licences/.
3. General eligibility requirements and Website use
3.1. The Website enables Players to access and place real-money wagers and bets on a wide range of casino-type games (see Section 12), both live and Random Number Generator (“RNG”) – based, as well as on numerous sport and non-sport events (see Section 13) and provides certain ancillary services in connection with the Games, including, without limitation Play Together (see Section 9)
3.2. The Website is only intended for individuals over the age of eighteen (18) or any higher applicable age, depending on the laws of your Country (“Legal Age”). It is your responsibility to verify that, when opening an Account and conducting business with us, you are of Legal Age to gamble in your jurisdiction and are not breaking any law. Under no circumstances can minors register as Players or hold an Account with us and, if it comes to our attention or we reasonably suspect that a User is under the Legal Age, we reserve the right to request proof of age and perform checks, also through 3rd Parties, in order to verify your age. We reserve the right to suspend your Account until satisfactory proof of your age is provided and we further reserve the right to terminate your Account and forfeit any existing winnings should you be found in breach of this term.
3.3. If you reside in one of the following countries (“Prohibited Countries”) you may not register with the Website nor may you access the Website or use the Services as a registered Player, if you are located in any of the Prohibited Countries:

3.4. We reserve the right to perform checks, also through 3rd Parties, in order to verify your country of residence and / or your location when registering with or accessing the Website and we reserve the right to suspend your Account until we are satisfied that you are not attempting to use our services and products from a Prohibited Country. We further reserve the right to terminate your Account and forfeit any existing winnings should you attempt to circumvent or otherwise be found in breach of this term.
3.5. We reserve the right to amend the Prohibited Country list above from time to time and it is your responsibility to periodically check any such amendment.
3.6. If you are an employee of the TMA or are otherwise professionally engaged with us, or you are a close family member of any of our employees, you may not access the Website, nor may you participate, as a Player, in real-money Games on the Website under any circumstance.
3.7. The Website and the Services are intended for private, recreational purposes only. Where we reasonably suspect that you are not using the Website and / or the Services in such capacity or for such purposes, we reserve the right to terminate your Account and forfeit any existing winnings.
3.8. Subject to your continued eligibility in accordance with this section and to your ongoing compliance with these Terms and Conditions, the Rules and any applicable laws, we hereby grant you the right to access and use the Website and the Services, provided that you do not: (i) copy, distribute or modify any part of the Website without our prior written authorization; (ii) use, modify, create derivative works of, transfer (by sale, resale, license, sublicense, download or otherwise), reproduce, distribute, display or disclose any content of the Website, except as expressly authorized herein; (iii) disrupt servers or networks connected to the Website; (iv) use or launch any robotic, automated, mechanical, electronic or other devices or software to make automated decisions while using the Website and the Services, or otherwise use any device or software that enables the use of the Website and/or the Services without human intervention (e.g. bots), makes automated decisions, provides real time information or coaching (collectively, “Prohibited Software”), whether such use is attempted or affected by you or by any third parties (including without limitation, "robots" and "spiders") to access and/or use the Website and the Services; (v) use the Website for fraudulent or deceptive purposes; and/or (vi) circumvent, disable or otherwise interfere with security-related features of the Website or features that prevent or restrict use or copying of any content or that enforce limitations on use of the Site. We reserve all rights not expressly granted in and to the Website.
3.9. We reserve the right to perform checks in order to verify your compliance with the conditions set out above and we further reserve to close your Account and forfeit any existing winnings should we detect any activity in your Account which we reasonably suspect to be in breach with Clause 3.8.
3.10. By entering the Website, accessing the Services and participating in the Games you acknowledge and understand that gambling involves a financial risk and no guarantees are made from us with regards to results or financial gain.
4. Player registration and Account Opening
4.1. Gaming Accounts
4.1.1. In order to access the Website and the Services and participate in real-money Games, you need to register with the Website, open a gaming account (“Account”) with us and fund your Account in accordance with section 5 below.
4.1.2. It is your sole responsibility to understand the laws in your jurisdiction of residence relating to all aspects registering with the Website opening an Account with us. Access to the Website and the Services is on your own initiative and you are responsible for your compliance with local laws if and to the extent local laws are applicable. We make no representation that materials on the Website or the Services are appropriate, available or allowed in your jurisdiction. TMA is unable to provide any legal advice regarding this matter and we accept no responsibility whatsoever should an individual act in breach of any law or regulation in transacting with the Company in whichever manner.
4.1.3. To register with the Website you have to sign up via your personal identification number, thereby providing us with your gender, full name, date of birth and permanent residential address or by personally completing the registration form and providing us with such information. You will also be asked to provide your email address and telephone number before completing the registration of your account and to confirm that you are at least 18 years old.
4.1.4. By submitting the form for opening an account with us you agree to abide by these Terms and Conditions and the Rules, and you further warrant and represent and acknowledge that:
a) You possess all the eligibility requirements as set out in Section 3 above
b) You are a natural person acting on your personal capacity
c) You are not restricted by limited legal capacity
d) You are not acting in the interest or on behalf of any third party
e) You are not utilizing funds originating from any criminal activity;
f) You are not funding your Account by utilizing payment methods that do not legally belong to you.
4.1.5. You must submit true, complete and current information during the registration and it is your sole responsibility to keep such information updated at all times, should there be any changes, by contacting our Customer Support (see Section 7) or by directly replacing any outdated information through your Account on the Website, although we strongly recommend reaching out to us for any material changes in your details.
4.1.6. You are prohibited from using offensive, derogatory, or inappropriate language in your usernames, nicknames, profile information, or any other content associated with your account, throughout your relationship with the Website. We reserve the right to determine what constitutes offensive, derogatory, or inappropriate language, and to take appropriate actions, including but not limited to being requested to change the prohibited content, or a temporary suspension of your account. In cases of repeated or severe violations we may suspend or terminate your account without prior notice.
4.1.7. In line with our Know Your Customer (“KYC”) policy, we reserve the right to verify the information you provided us during the registration and any information that is subsequently amended in accordance with Clause 4.1.6. above and to request documentary evidence corroborating such information, including but not limited to photographic IDs, bank statements, residential utility bills and we further reserve the right to suspend or otherwise limit your Account or certain functionalities, such as withdrawals, until we are fully satisfied with the veracity of the details provided.
4.1.8. Should we, at any time, become aware or reasonably suspect that you have provided us with materially false information, or should you fail to provide us with any evidence we may request in accordance with Clause 4.1.7. above, we shall permanently terminate the relationship with you and forfeit any winnings existing on your Account.
4.1.9. In order to log-in with the Website you may need to enter either your email address or your mobile number and a robust password of your choice or authenticate via a single sign-on, such as your personal identification number (collectively, the “Login Details”).
4.1.10. You must keep your Login Details secret at all times. In this respect, we advise you not to write down your Login Details and, particularly, your password in a way that can be easily found or used. We also advise you to log out after any gaming session and not to leave your device unattended when logged in so that you can prevent the unauthorised use of your Account.
4.1.11. If one or more wagers or bets is placed using your Login Details, it will be considered to have been made by you and therefore shall be accepted and deemed valid.
4.1.12. To provide you with an additional layer of security, your Account will be suspended should wrong Login Details be entered for three consecutive times.
4.1.13. If your Account is suspended, or you have forgotten your password we make available a secure recovery process which will allow you to set a new password.
4.1.14. If there is a risk or you suspect that the your Login Details may be or have been compromised in any way, you must notify us as soon as reasonably possible by sending an email to our Customer Support, at support@budsino.com Upon any such notice, we reserve the right to temporarily suspend your Account until the matter has been investigated to our satisfaction.
4.2. General restrictions
4.2.1. You are only allowed to open or otherwise have one active Account with the Website at any point in time and we only allow an active account per household and/or IP address, including shared IP addresses, and / or family and / or household address.
4.2.2. If we become aware that more than one Account is associated with your household and / or IP address, we reserve the right to suspend or close any such Account and to forfeit any existing winnings. If more than one user from the same household and / or IP Address intends to register with the Website as a Player, we recommend informing us as soon as practically possible not to incur suspension or closure of the in accordance with the above term.
4.2.3. We reserve the right to perform checks in order to verify that you don’t have more than one active Account with the Website and where we had to determine that the same Player is holding multiple active Accounts, we reserve the right, in our sole discretion, to (i) immediately terminate any active promotion and forfeit any existing bonus funds and any winnings generated by bonus funds associated with any additional Account; and (ii) permanently close either any Account held by the Player found in breach of this prohibition or any other Account than the first one validly opened; or (iii) merge any additional Accounts into the Account originally and validly opened. Furthermore, we reserve the right to charge an administrative fee of Euro 20.00 (“Multiple Accounts Fee”) for each and every additional account in your name and we further reserve the right to set off the Multiple Account Fee from any balance that should, exist in any of the relevant accounts.
4.2.4. Accounts are intended for use by their respective owners only and you may not allow any third-party to access or otherwise use your own Account with the Website. You may not sell, transfer, trade your Account nor any existing funds to other Players nor are you permitted to acquire Accounts or funds from other Players.
4.2.5. We reserve the right to perform checks in order to confirm that Accounts are only being accessed or otherwise used by their owners and to detect possible instances of third-party use. If we find or reasonably suspect that your Account is being used or accessed by another party, we further reserve the right to suspend your Account until we are satisfied of the identity of the User and where such identity cannot be satisfactorily determined we reserve the right to close your Account and forfeit any existing winnings.
4.2.6. All Accounts are opened and transacted in the currency that you chose upon sign-up or that is automatically associated with your Country of registration by our system.
4.2.7. Funds on Account cannot be used as a basis for obtaining any form of credit, nor are they allowed to be used for exchange rate speculation. We reserve the right to return funds to Players at the original exchange rate if we have reasonable suspicion that the intent of the Player's transactions has been primarily to speculate on exchange rates or for any other purposes than to participate in the Games.
4.2.8. Accounts are not interest bearing. No interest shall be paid on any funds, irrespective of the amount, held in your Account. TMA is not, and does not purport to be, a financial institution and you are hereby positively requested not to consider nor to treat us as such.
4.3. Management of your Account by us
4.3.1. TMA manages Players’ Accounts, calculates the available funds, the pending funds, the wagered funds as well as the amount of the winnings. TMA further administers refunds, pays winnings, charges any fees or penalties due under these Terms and Conditions. Unless proved otherwise, these amounts are considered as final and are deemed to be accurate.
4.3.2. We reserve the right at our discretion to refuse to open an account or close an existing account without having to provide any justification. In this case any contractual obligations already arisen, shall be honoured, however, where your Account is terminated by us because: (i) these Terms and Conditions or any of the Rules have been violated; or (ii) any unauthorised activities have occurred in connection with the operation of your Account (such as, but not limited to, breach of the law or other regulations, breach of a third party’s rights, fraud, and cheating); we reserve the right, at our sole discretion, forfeit and/or confiscate funds available on your Account, including withholding deposited funds pending any internal investigation and/or refuse to honour a claim.
4.3.3. An Account is deemed inactive if for a consecutive period of twelve (12) months there has not been recorded on the Account any log in/ log out and/or any wager.
4.3.4. We shall notify you that your Account is about to become an Inactive Account by contacting you according to your contact preferences up to thirty (30) days prior to your Account becoming inactive.
4.3.5. We may deduct an administrative monthly fee (“Inactivity Fee”) of Euro 5.00 (or the equivalent in other currencies) from your Account as soon as it becomes inactive. The Inactivity Fee will only be deducted if your Account is in credit and may be fully refunded in the event that you reactivate your Account or where you can prove that you could not access your account due to a reasonable cause.
4.3.6. You can reactivate your inactive Account at any time by simply logging in and depositing or withdrawing funds.
4.3.7. Should your Account become inactive due to a Self-Exclusion period initiated by you, we may close your Account and remit to you any existing balance where your self-exclusion period is set to last at least 6 months or is indefinite.
4.3.8. We reserve the right to close any inactive Account with no positive balance.
4.4. Use of the Account by you
4.4.1. Your Account with the Website enables you to deposit and withdraw funds and to participate in the Games, to edit certain personal details, including your contact preferences, to access your history and to manage your responsible gambling preferences.
4.4.2. At any time you can log in to your account and view a statement showing all transactions effected on that account, namely deposits, bonuses, winnings, bets and withdrawals in the last six months. Should you notice any mistakes you should immediately notify our Customer Support (see Section 7 below) so that the mistake can be rectified. You should report such a mistake within 90 days from when the mistake first appeared on the statement available in your Account.
4.5. Suspension of the Account
4.5.1. In the event that you breach any of these Terms and Conditions, we reserve the right, at any time, without prior warning, notification or compensation, and without prejudice to any subsequent legal proceedings which may be taken, to suspend or close your Account, to deny access to all or part of our Services, particularly to refuse to accept any bets or transactions, or to withdraw promotional offers pending investigation and/or the conclusion of any legal proceedings. Any positive balance existing in your Account pending investigation and/or following the conclusion of any legal proceedings may be used on account of any damages or sums owed by you to us.
4.6. Closure and Termination of the Account
4.6.1. At any time your Account can be closed by either us or yourself. Closure of your Account represents termination of these Terms and Conditions and therefore of your relationship with us.
4.6.2. You can close your Account at any time by logging in and accessing your personal area or by contacting our Customer Support.
4.6.3. Accounts closed by you may, in principle, be reactivated at any time
4.6.4. The funds on any Accounts that are closed with a positive balance will only be returned to you upon submission of a withdrawal request and provided that funds can be remitted to the same payment method they were originally transferred from. Should this not be feasible, the withdrawal request will only be processed upon you providing us with the details of a bank account in your name and we reserve the right to satisfactorily verify that you are the rightful owner of such account before remitting any funds.
4.6.5. In the case of any Accounts which are closed but which have outstanding/pending bets (such as sports bets), those outstanding/pending bets will not be cancelled and it is your responsibility to contact our Customer Support to arrange to transfer to your bank account any winnings resulting from the outcome of such bets once settled.
4.6.6. We reserve the right to close an existing Account at any time without having to provide any justification. In this case any contractual obligations already arisen, shall be honoured, however, where your Account is terminated by us because: (i) these Terms and Conditions or any of the Rules have been violated; or (ii) any unauthorised activities have occurred in connection with the operation of your Account (such as, but not limited to, breach of the law or other regulations, breach of a third party’s rights, fraud, and cheating); we reserve the right, at our sole discretion, forfeit and/or confiscate funds available on your Account, including withholding deposited funds pending any internal investigation and/or refuse to honour a claim.
4.6.7. If we decide to return all or part of the balance on your Account at the time of termination, you are required to contact us upon receipt of our email informing you of our decision, confirming to us that you wish to withdraw the permitted amount, following which the funds will be returned to you. Your Account will be closed.
5. Deposits, Withdrawals and Wagers
5.1. Deposits
5.1.1. Once you have registered with the Website, in order to start to wager you need to fund your Account with a minimum deposit. We offer a wide range of payment methods, such as bank transfers, debit and credit cards, e-wallets and e-vouchers; under no circumstance will we accept cash as a funding method.
5.1.2. You can find full information on the available methods in the Payments & Bonuses section of your Account; deposits of funds into your Account, shall only be accepted if made via financial instruments that are valid and lawfully belonging to you. Use of financial instruments in the name of third parties, including legal persons, is prohibited, irrespective of whether such use was authorized by the relevant third party.
5.1.3. We reserve the right to perform checks in order to determine the ownership of the instruments you use to fund your account and to this end we may request documentary evidence such as bank statements, copies of the cards, screenshots from your banking and financial accounts. We reserve the right to suspend your Account until we are satisfied with the ownership of the funding instrument and we further reserve the right to permanently close your Account and withhold any existing winnings should you fail to provide us with satisfactory evidence.
5.1.4. Depending on the payment method you choose to fund your Account, there might be minimum deposit requirements. Minimum deposit details will be promptly available in the Payments & Bonuses section of your Account whenever you wish to make a deposit.
5.1.5. We reserve the right to impose additional conditions on the use of particular payment methods and from time to time we may change the payment methods available without giving notice. We do not guarantee that all methods of payment are available at all times. We recommend regularly checking the Payments & Bonuses section of your Account for fully updated information.
5.1.6. Bank transfers will be credited to your account as soon as they appear as cleared funds on the specified bank accounts; card and e-wallet deposits are automated: once your deposit transaction is authorized by your issuer or by the relevant payment provider, the funds will be credited to your Account and your balance will be instantly updated.
5.1.7. It is your sole responsibility to provide complete, valid and current payment details; if a deposit is rejected or otherwise not received by us or a charge is levied by the relevant financial institution for any reason relating to the accuracy of the payment details you provided, you agree to promptly pay all amounts due to us upon demand and we reserve the right to set off any such amount from your existing balance and, if applicable, to charge fee (“Rejected Payment Fee”).
5.1.8. In order to ensure that your funds are adequately protected against insolvency, we segregate all Players’ funds from our own assets and keep deposits in a dedicated, separate account held at a bank or a financial institution approved by the Malta Gaming Authority.
5.1.9. Deposits made to your Account should be commensurate with your game play. We reserve the right to carry out checks in order to determine consistency between funding and wagering activities and in order to prevent any possible abuse as well as to verify to our satisfaction any unspent or unused funds in your Account.
5.1.10. We will not accept the deposit of any funds which we believe have been obtained by unlawful or ill-gotten means and by depositing funds to your Account you accordingly represent and warrant that you will not utilise funds originating from any criminal activity or activities.
5.1.11. We reserve the right to carry out checks on all transactions in order to prevent money laundering, funding of terrorism and financial crime and we further reserve the right to request documentary evidence corroborating the source of the funds used in any transaction and to suspend your account until we are satisfied with the evidence received.
5.1.12. Any suspicious activity on an Account could lead to the Player being reported to the relevant Authorities, suspension of the Account and could also lead to the closure of the Account and forfeiture of the existing funds.
5.1.13. If you reasonably that you have been wrongfully charged an amount by us you may notify our Customer Support and request a refund. We will only consider refund requests that include full details of the disputed transaction, including the relevant dates, payment details, and a short explanation as to why the amount is disputed.
5.2. Withdrawals
5.2.1. At any time, you may decide to withdraw part or all funds from your Account by selecting amongst the various available options that can be found in the Payments & Bonuses section of your Account. The default withdrawal method selected by the system will be the same one used to deposit.
5.2.2. You may only withdraw deposited funds once that they have been wagered, in any of the available Games, at least one time. Withdrawal of funds not used for wagering/betting is normally prohibited and we reserve the right to refuse any such request or to apply a fee (“Early Withdrawal Fee”) of 15% of the value of the Early Withdrawal.
5.2.3. Depending on the payment method you choose to withdraw your funds, there might be minimum withdrawal requirements. Minimum withdrawal details will be promptly available in the Payments & Bonuses section of your Account whenever you wish to request a withdraw of your funds.
5.2.4. We reserve the right to impose additional conditions on the use of particular payment methods and from time to time we may change the payment methods available without giving notice. We do not guarantee that all methods of payment are available at all times. We recommend regularly checking the Payments & Bonuses section of your Account for fully updated information.
5.2.5. Irrespective of the payment method chosen, the maximum amount that can be withdrawn per week is €10,000 and per month €25,000 or the equivalent in other currencies. Notwithstanding such limits, in the event of big wins, such as a jackpot or other 1st tier prizes we may offer you a lump sum which is lower than that of being paid in weekly or monthly instalments.
5.2.6. Withdrawals will be held for authorization by the relevant Department. Once authorized, the funds will be remitted to the bank account or the payment method they originated from or, should this not be practicable, to a bank account held in your name to be indicated upon the granting of the authorization.
5.2.7. We will endeavour to process your request within 72 hours and in any case by no later than 5 working days. Upon your first withdrawal or where large amounts are requested, we reserve the right to perform checks in order to verify your identity and or your residential address as a part of our KYC. We further reserve the right to delay the processing of your request and to suspend your account pending any such check and we may permanently close your account and forfeit any existing winning should you fail to satisfactorily undergo the Know Your Customer Process.
5.2.8. It is your responsibility to notify our Customer Support immediately should funds be credited to your Account in error. 8. Bonus and Promotions

c) Gross negligence;

12. Types of Bets
12.1. You may place Single and / or Multiple Bets (“Accumulators” or “Parlays”) with the Site. 12.2.1. The maximum aggregate winnings for Multiple Bets in one calendar day is Euro 250,000.00 or the equivalent in other currencies;

12.2.3. Accumulators may only contain selections pertaining to up to maximum ten different leagues;
12.3. Should a multiple bet/parlay include a non-runner or a cancelled or, in any case, void selection, the bet will be settled on the remaining selections. Odds on the void selection will bet set to 1.00.
12.4. Should a Multiple Bet include a postponed / delayed selection, such selection shall be settled in accordance with the Specific Rules pertaining to the postponement / delay of the relevant event.
12.5. Selections/events that are logically connected (i.e. Home Team to win 2-1 and Both teams to Score) are not allowed as Accumulators and can only be played as Single Bets, unless otherwise specified.
12.6. You may place Pre-Match and / or In-Play Bets with the Site. Pre match bets are bets that can only be validly placed prior to the commencement of the selection/event they refer to or, in case of Accumulators prior to the commencement of the earliest of the selections/events forming part of the Accumulator. In-Play bets are bets that can only be placed after the commencement of the event they refer to.
13. Acceptance, Settlement and Pay-Out of Bets

13.2. A bet is not valid until it is accepted and displayed in your account’s bet history. We reserve the right to refuse the acceptance of bets, or to limit the amount of bets or the amount of the stake without obligation of providing reason.
13.3. In cases of uncertainty about the validity of a bet, you are requested to check your bet history, or contact Customer Service. Once accepted, a bet will remain valid and cannot be withdrawn, you can no longer cancel it, nor alter its features, such as the stake and the number and outcome of your selections/events. It is your sole responsibility to ensure details of the bets placed are correct.
13.4. All odds offered are subject to variation. We reserve the right to change the offered odds at any time at our sole discretion as well as suspend or close betting on events before the scheduled start time. All bets will be settled at the odds that were offered when the bet was placed.
13.5. We do not accept bets when it is likely that customers act in agreement, or as a syndicate. Placing identical bets from more than one account and from the same IP address might be considered a syndicate even if the personal betting limits has not been reached.
13.6.
